Welcome to the website www.tslinternational.co.th/ (the “Site”)! The Site is owned and operated by T.S.L. International Co., Ltd. having its registered address at No. 159/33 Serm-mit tower, 20/F Sukhumvit 21, Klongtoey Nua, Wattana, Bangkok Thailand 10110 (“TSL”, “we” or “us”).

The following Terms and Conditions (“Terms”) together with our Privacy Policy describe the terms and conditions applicable to your access of the Site and use of the Services (as defined below). 

This document is a legally binding agreement between you, being the user or customer of the Site, (referred to as “User” or “you”) and TSL.

By accessing our Site, creating an account, using our services in any manner or purchasing our products, you fully accept and consent to be bound by these Terms, our Privacy Policy, and other policies and legal documents (“Other Policies”) made available to you by TSL. Please read them carefully.

2.1 The Site contains a range of information about the TSL’s Products and Services.

2.2 We rely on the information provided by us and we are not responsible if any information made available on the Site is not accurate, complete or current. Any reliance on the material on this Site is at your own risk.

2.3 Each User is solely responsible for their interactions with other Users. TSL may monitor User interaction in case of dispute or other events when TSL reasonably needs to access such information. TSL may limit or prohibit your interaction with other Users.

2.4 All Products displayed on the Site may be available at Stores. To ensure authenticity, genuine Products are sold exclusively through official Brand retailers and official Site only. The information and materials contained on the Site is given for information purpose and is not to be construed as a solicitation to enter into any contractual relationship unless customer has agreed and entered into the Order Process as referred in Clause 13 hereunder.

3. Eligibility

3.1 Our Site is available, used and applied for membership, including individual customers, customers spending on the Products and potential customers.

3.2 By using and accessing the Site in any manner, you warrant and represent to us that you have reached the age of 20 or the legal age of your country of residence or have full legal capacity in case you are a legal entity. 

4. Accounts Registration and Membership

4.1 The User is eligible to register as a Member through TSL Membership using your email which has not been registered or recorded in the membership system.

4.2 Before placing the Products order via the Site, each User can purchase as Guest or create an account with customer personal information.

4.3 The User must follow the account registration procedure appeared on the Site.

4.4 Upon account registration, you will be able to access your own information of member profile, spending, accumulated purchase.

4.5 Certain features of the Site are accessible if you create an account with us. When creating an account with us, the User agrees to provide full, accurate and true personal data in its user profile. The User is required to make sure that all personal data required is accurate and correct, as we use this information to contact you in relation to any matter. The User shall update its personal data to keep it accurate and correct. The User shall be solely responsible for keeping its account password safe and confidential. In case of any unauthorized access, you should immediately contact our support team. You are fully responsible for all activities that occur under your User ID and account even if such activities or uses were not committed by you. TSL will not be liable for any loss or damage arising from unauthorised use of your password or your failure to comply with this Clause.

5. Terms of Use of Site

1. Subject to your compliance with these Terms, TSL hereby grants you a personal, non-exclusive, non-transferable and limited license to use the Services and the Site. TSL expects that the User complies with the terms and conditions of these Terms, Privacy Policy, other policies and applicable laws. You agree that you will not:

a) use the Site in any way or take any action that causes, or may cause, damage to TSL or impairment of the performance, availability or accessibility of the Site;

b) use the Site in any way that is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity;

c) violate third party rights on the Site and/or cause harm in any way;

d) use our Site to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit or other malicious computer software;

e) download, send, transmit or otherwise post and/or distribute unauthorized advertising information, spam (including spamdexing), lists of e-mail addresses of other people, pyramid schemes, multilevel marketing (MLM), Internet earning systems and e-mail businesses, chain letters as well as use the Site for participation in any of the above;

f) collect and store personal data of other users without their proper authorization;

g) attempt to gain unauthorized access to the Services or any third party accounts by any means, including hacking and password mining.

2. As a condition to make use of the Services, you agree not to use, store or transfer any content that:

a) constitutes a false, inaccurate, or misleading statement or omission;

b) impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity, or interfere with someone else’s use of the Services;

c) is obscene, defamatory, profane, discriminating, threatening, abusive, harmful, vulgar or indecent;

d) promotes racism, violence or hatred;

e) is erotic, pornographic or otherwise offensive;

f) is protected by any patent, trademark, trade secret, copyright or other intellectual property right, unless you own such rights and have received all necessary consent.

5.3 This Site uses Cookies and similar techniques to make the Site more user-friendly, to analyse site usage, for sale of Products purposes, to offer (personalised) advertisements and to record your preferences, statistics cookies, and marketing cookies.

6. Change of Terms

We may change these Terms at any time, as we deem appropriate. If we make anychanges, we will let you know by noting on the Site that the Terms have been updated. If you disagree with the changes to these Terms, discontinue your use of the Site, or if you have registered as a Member, cancel your registration. Your ongoing use of the Site after the changes take effect signifies your agreement to the new Terms. We encourage you to review the Terms regularly.

7. International Use

The Site, including the information provided on the Site, are designed for and intended for User in Thailand only. We make no representation that the Site is applicable to, appropriate for, or available to User in locations outside Thailand. Accessing the Site from territories where the content is illegal is prohibited. If you choose to access the Site from a location outside Thailand you do so on your own initiative and you are responsible for compliance with local laws.

8. Violation of the Terms

If TSL has any reason to believe that you violate these Terms, Privacy Policy, other policies and/or applicable laws, TSL reserves the right to suspend your access to all or certain parts of the Site and Services, and/or terminate your access to the Site or deny the use of any Services without prior notice. If you become aware of User content that you believe violates these Terms, you may report to us.

Termination of this agreement will not affect legal right or commitment (include but not limited only payment commitment) of acquisition that occurred before the date of cancellation.

9. Proprietary Rights

9.1 TSL is the exclusively or lawful licensee of all the rights and interests in the Site, Products, Brand and the Services. You acknowledge and agree that the Site, Products, Brand and the Services contain proprietary and confidential information that is protected by applicable intellectual property and other worldwide laws. All title, ownership and intellectual property rights in the Site and its content shall remain with TSL, our affiliates or licensors of the Site content, as the case may be. All rights not otherwise claimed under the Terms or by TSL are hereby reserved.

9.2 You further acknowledge and agree that content contained in advertisements or information presented to you through the Site and our Services or by advertisers is protected by copyrights, trademarks (whether registered or being under registration), service marks, patents or other proprietary rights and laws. Except as expressly permitted by applicable law or as authorized by TSL or the applicable licensor (such as an advertiser), you agree not to modify, rent, lease, loan, sell, distribute, transmit, broadcast, publicly perform or create derivative works based on the Products and Services, such content or the Site, in whole or in part.

9.3 TSL may use services of third parties involved in the provision of the sale and purchase (e.g., the payment processors). You may not violate proprietary rights and use any trademark, service mark or logo of such independent third parties without prior written approval from such parties.

10. Privacy Policy

We will collect, store and use personal data in accordance with our Privacy Policy published on our website. Please read it carefully.

11. No Warranty and Disclaimer for Site Access

11.1 The User agrees that all access and use of the Site is at his own risk. We cannot guarantee and do not warrant that such content and/or information is error-free, free of viruses, worms, free of harmful, illegal or other inappropriate language.

11.2 We do not warrant that the Site will always be accessible and useable. We shall not be liable to the User if the Site is inaccessible or unusable in whole or in part, for any reason. Without prejudice to the generality of the foregoing, we will not be liable to you if the Site is inaccessible or unavailable in whole or in part for any reason beyond our reasonable control or because we are carrying out maintenance, upgrades, developments or the like. Please install and keep up to date virus-checking software for your hardware and software systems. You must ensure that your information technology is compatible with ours and that any hardware, software or communication link you may use is sufficient and appropriate.

11.3 The Products and Services contained in the Site are provided “as is”. We cannot ensure that information and materials provided on the Site is accurate, correct, reliable, exhaustive or complete on every subject. The User is solely responsible for use of any reliance on this information. 

11.4 TSL, its subsidiaries, affiliates, directors, officers, agents, employees, partners and licensors are not responsible, and shall have no liability to you or anyone else for any User or other material transmitted over the platform, including fraudulent, untrue, misleading, inaccurate, defamatory, offensive or illicit material and that the risk of damage from such material rests entirely with each User. TSL reserves the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the User, in which event the User shall cooperate with TSL in asserting any available defenses.

11.5 Under no circumstances shall TSL nor any of its subsidiaries, affiliates, directors, officers, agents, employees, partners and licensors be held liable for any delay or failure or disruption of the sale of Products delivered through the platform resulting directly or indirectly from acts of nature, forces or causes beyond our reasonable control, including without limitation, Internet failures, computer, telecommunications or any other equipment failures, electrical power failures, strikes, labour disputes, riots, insurrections, civil disturbances, shortages of labour or materials, disease, pandemic, fires, flood, storms, explosions, Acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals or non-performance of third parties.

12. Indemnity 

You agree to indemnify and hold TSL and its subsidiaries, affiliates, directors, officers, agents, employees, partners, licensors or others involved in creating, sponsoring, promoting or otherwise making available the Site, the Products, the Services and data, harmless from any and all claims, damages, losses or liabilities, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of any action, inaction or omission by you made on the Site or through the use of our Services, content you submit, post, transmit, modify or otherwise make available through the Site and Services, your use of the Site and the Services, your connection to the Site and the Services, your violation of the Terms, or your violation of any rights of another.

13. Order Procedure

13.1 The Products presentation on our Site does not represent an offer but shall be understood as a non-binding invitation for the customer to submit an order. 

13.2 By clicking the “Add to cart” button, you send us a binding offer for the conclusion of a sale and purchase agreement with us for purchasing Products in your shopping cart (hereinafter referred to as “Order”).

13.3 With our confirmation and/or delivery, we will send you a copy of the corresponding Order, including the corresponding invoice, to your designated email address or Member’s account. This final confirmation Order counts as a signature and express agreement between you and TSL which is subject under these Terms.

13.4 TSL reserves the right at any time, in its sole discretion and without liability to the Buyer, to accept, reject, or decline any Order or cancel any Products. TSL will accept your Order by sending an order confirmation to you to the electronic address you indicated during the ordering process. This e-mail is our acceptance of your order and therefore constitutes the contract of sale between you and us governed by these Terms. Unless otherwise stated, the effective date of the purchase agreement is the date on which TSL confirms by email the acceptance of your Order. The contract of sale is subject to the condition of and shall become binding for TSL only upon receipt of the full payment for the purchase.

13.5 Where the purchase of Products is unavailable once an order has been placed or declined by TSL then the Buyer shall be notified by us in which TSL shall have no liability to the Buyer for such rejection.

13.6 TSL shall not be held responsible for any addition to, changes in, deletions from, delay in publication or withdrawal of any Products without liability to the Buyer who shall have no claim for damages or otherwise as a result thereof but the Buyer shall remain liable to TSL for the charges payable under this Term for such purchased Products.

13.7 The cancellation of an Order is possible only if the cancellation request is made before the delivery of the Products. Cancellation must be sent using exclusively the following email address: customerservice@tslth.com. The return of the Products which has been properly delivered is not accepted.

14. Prices and Taxes 

14.1 All prices quoted on our Site are in Thai Baht (THB), excluding VAT and delivery fee that may apply to the particular case. 

14.2 Any additional custom taxes, duties, fees, imposts, tariffs and charges that may be raised by particular countries or authorities related to the conclusion or execution of your Order shall be borne by you. In the event TSL is required to pay such charges to any authority, you shall indemnify and hold harmless TSL for any such payments.

14.3 We only accept credit card prepaid orders through our dedicated order page.

14.4 TSL is entitled to revise the prices at any time without notice and/or consent of the Buyer.

14.5 TSL reserves the right to refuse to complete any transaction in the following cases, without limitation: 

(a) if we have reasons to believe that your transaction is fraudulent and/or illegal;

(b) if you fail to comply with or violate these Terms, Privacy Policy, other Policies or any applicable laws;

(c) if your payment method is non-completed or declined;

(d) if we are required to defend our rights or rights of other users.

15. Delivery

15.1 TSL will send the delivery email to the address indicated in your Order. The delivery contains the product list and the invoice. 

15.2 TSL shall deliver the Products upon confirmation of your successful payment of the purchase price. Time for delivery shall be prolonged by reasonable periods in case of force majeure or other events for which TSL is not responsible, such as disruptions in operations, strikes, authority measures, or troubles with telecommunications. In such circumstance, TSL shall in no way be liable to Buyer against any liability as a result of any delay in delivery.

15.3 Buyer can select the delivery method by delivery service provided by TSL or self-picking up at the Stores.

15.4 The Buyer can track the Order via the Member’s account on the Site.

15.5 The Products shall remain the property of TSL until all liabilities under the Order have been paid in full. Risk of loss in the Products shall pass to Buyer upon TSL’s delivery in accordance with the applicable laws.

16. Limited Products Warranty and Disclaimer

16.1 TSL warrants that under normal use the Products shall, at the time of delivery to Buyer and throughout the warranty period according to respective watch brand’s warranty policy, be free from defects in material or workmanship and shall substantially conform to TSL’s specifications for such Products, or such other specifications, i.e. manufacturer, as TSL has agreed to, as applicable. 

16.2 TSL’s sole and exclusive obligation, with respect to claims under this warranty shall be limited, at TSL’s option, either to (a) the replacement or repair of a defective or non-conforming Products, or (b) an appropriate credit for the purchase price thereof. TSL will have a reasonable time to repair, replace or credit. The non-conforming or defective Products shall become TSL’s property as soon as they have been replaced or credited for.

16.3 Notwithstanding the foregoing, TSL shall have no obligations for breach of warranty if the alleged defect or non-conformance is found to have occurred as a result of: environmental or stress testing, misuse, neglect, improper installation, accident, improper repair, alteration, modification, improper storage, improper transportation or improper handling of the Products, after the risk of loss in the Products has passed to Buyer.

16.4 Buyer may deliver Products returned under warranty claims to TSL’s Stores or designated facility only so long as the returns are in conformance with TSL’s then-current return material authorization policy and are accompanied by a duly completed return material authorization form issued by TSL at the Buyer’s cost. Buyer shall pay for returned Products that are not found to be defective or non-conforming together with the freight, testing and handling costs associated therewith. 

16.5 The express warranty granted above shall extend directly to Buyer and not to Buyer’s customers, agents or representatives. The express warranty granted above is in lieu of all other warranties, whether express or implied, including without limitation any implied warranties of fitness for a particular purpose, merchantability, or non-infringement of intellectual property rights. All other warranties are hereby specifically disclaimed by TSL.

17. Applicable Law and Dispute Resolution

1. These Terms shall be governed by and interpreted in accordance with the laws of Thailand without regard to any conflict of law’s provisions that would apply the laws of another jurisdiction.
2. In the event of any dispute arising out of or in connection with these Terms, the parties shall seek to negotiate a resolution within 7 days of such dispute arising. The parties shall act in good faith in order to resolve such dispute by way of negotiations.
3. If any dispute is not resolved by negotiations within 7 days after the relevant written request has been sent, then such dispute shall be submitted and finally resolved by courts in Bangkok.

18. Linked Sites

This Site may contain links to third party web sites (“Linked Sites”). The Linked Sites are not under the control of TSL and we are not responsible for the contents, services or practices of any Linked Site in any manner. TSL makes no representations regarding the contents or appropriateness of contents on such Linked Sites. When you access the Linked Sites from this Site, you leave this Site and you do so at your own risk. You are responsible for viewing and complying with the terms and conditions posted on the Linked Site.

19. Miscellaneous Terms

19.1 Nothing in these Terms shall be interpreted as agency, partnership, joint venture, mutual activities, employment, franchiser-franchisee or any other relations not directly stated in these Terms.

19.2 If any provision of the Terms is held to be invalid or unenforceable, such provision shall be deleted and the remaining provisions shall remain valid and be enforced.

19.3 Unless otherwise defined herein, these Terms constitute the entire agreement between you and TSL with respect to your use of the Site or purchase of Products and supersede and extinguish all previous agreements (made in oral or in writing) between the you and TSL relating to the subject matter hereof.

19.4 Sale of any Products or Services is expressly conditioned on Buyer’s assent to these Terms. Any acceptance of TSL’s offer is expressly limited to acceptance of these Terms and TSL expressly objects to any additional or different terms proposed by Buyer. No User or Buyer shall modify these Terms, nor shall any course of performance, course of dealing, or usage of trade operate as a modification or waiver of these Terms.

19.5 TSL’s failure or delay to enforce any right or failure to act with respect to any breach by you under the Terms will not constitute a waiver of that right nor a waiver of TSL’s right to act with respect to subsequent or similar breaches.

19.6 TSL shall have the right to assign its obligations and duties in these Terms to any person or entity without notice or consent of the User. User cannot assign its obligations and duties in these Terms to any person or entity.
